TERMS OF USE

IMPORTANT NOTICE

THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER. PLEASE READ CAREFULLY.

1. Acceptance of These Terms

Jaric Development, LLC, together with its affiliates and subsidiary entities (collectively, “Jaric,” “we,” “us,” or “our”), operates this website and any related online services, digital platforms, or mobile applications that link to these Terms (collectively, the “Services”).

These Terms of Use (“Terms”) govern your access to and use of the Services.

You agree to these Terms by:

  • Accessing or using the Services;

  • Clicking “accept” where presented; or

  • Otherwise indicating agreement in any legally sufficient manner.

If you do not agree to these Terms, you may not access or use the Services.

If you use the Services on behalf of an entity, you represent and warrant that you have authority to bind that entity, and these Terms apply to that entity.

2. Changes to the Terms

We may update these Terms from time to time. Changes become effective upon posting the updated Terms on the Services.

Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using the Services.

This section does not apply to the Arbitration and Class Action Waiver in Section 14.

3. Changes to the Services

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, and without liability. We may also introduce new features or impose fees for certain Services.

4. Eligibility

You must:

  • Be at least 18 years old, or

  • Be at least 13 years old with parental or guardian consent

By using the Services, you represent that you meet these requirements.

5. Account Registration

Some Services may require account registration. You agree to:

  • Provide accurate and current information

  • Maintain the security of your credentials

  • Be responsible for all activity under your account

You must notify us immediately of unauthorized account use.

6. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and share information. The Privacy Policy is incorporated by reference.

7. Prohibited Conduct

You agree not to:

  • Violate any applicable law or regulation

  • Engage in fraud, misrepresentation, or deceptive conduct

  • Harass, threaten, or harm others

  • Upload or transmit unlawful, defamatory, obscene, or infringing content

  • Introduce malware or attempt to compromise security

  • Scrape data or collect personal information without authorization

  • Reverse engineer or interfere with the Services

  • Access restricted areas or systems

  • Use the Services for commercial resale or competitive purposes

  • Impersonate others or misrepresent affiliations

We may suspend or terminate access for violations at our sole discretion.

8. Ownership and Intellectual Property

The Services and all related content are owned by Jaric or its licensors and are protected by intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for personal, non-commercial purposes only.

9. Feedback

Any feedback you provide is voluntary and non-confidential. You grant Jaric a perpetual, royalty-free, worldwide license to use such feedback without restriction or compensation.

10. Third-Party Links

The Services may contain links to third-party websites or services. We do not control or endorse them and are not responsible for their content or practices.

11. DMCA Copyright Notice

If you believe content on the Services infringes your copyright, please submit a DMCA notice including all required information to:

False or misleading notices may result in liability.

12. Indemnification

You agree to indemnify and hold harmless Jaric, its affiliates, officers, employees, partners, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JARIC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

TOTAL LIABILITY SHALL NOT EXCEED $100.00, EXCEPT WHERE PROHIBITED BY LAW.

15. Arbitration and Class Action Waiver

PLEASE READ CAREFULLY.

All disputes arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by JAMS, under its applicable rules.

  • Arbitration is individual only (no class or representative actions)

  • You waive the right to a jury trial

  • Certain intellectual property and small-claims matters are excluded

Opt-Out Right

You may opt out within 30 days by emailing legal@jaricdevelopment.com with the subject line:

“ARBITRATION OPT-OUT.

This section survives termination.

16. Wi-Fi Services

Wi-Fi services provided at physical properties are governed by separate terms and policies.

17. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

18. Statute of Limitations

Any claim must be brought within one (1) year of accrual, except where prohibited by law (including New Jersey residents).

19. Miscellaneous

These Terms constitute the entire agreement between you and Jaric regarding the Services.

If any provision is found unenforceable, the remainder remains in effect.

We may assign these Terms freely.

No waiver is effective unless in writing.
